TERMS AND CONDITIONS

Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the website operated by Beacon Coast Design Ltd. ("us", "we", or "our") and before subscribing to or purchasing any of our services, including web design, Search Engine Optimization (SEO), artificial intelligence search engine optimization (AI-SEO), search engine advertising (SEA), website maintenance, and digital consulting services (collectively, the "Services").

By accessing our website or engaging our Services, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the website or use our Services.

1. Scope of Services

We provide professional digital services to businesses and individual entrepreneurs. The specific scope, deliverables, timelines, and fees for any project or ongoing support will be outlined in a separate, written Service Agreement, Statement of Work (SOW), or Project Proposal signed or digitally accepted by both parties. In the event of any conflict between these general Terms and a specific Service Agreement, the terms of the specific Service Agreement shall prevail.

2. Client Obligations & Cooperation

To ensure the successful delivery of our Services (especially Web Design and SEO), you agree to:

  • Provide all necessary text, images, corporate branding assets, credentials, and access to third-party platforms (e.g., hosting accounts, domain registrars, Google Analytics) in a timely manner.
  • Ensure that all materials provided to us do not infringe upon the intellectual property rights or privacy rights of any third party.
  • Provide timely feedback and approvals as reasonably requested during the project lifecycle. Delays in communication may result in adjusted project timelines.

3. Fees, Invoicing, and Payment Terms

  • Project-Based Services: Fees for custom web design or fixed-scope projects are billed according to the schedule set out in the individual Service Agreement (e.g., a non-refundable deposit upfront, with the remaining balance due upon completion or milestones).
  • Subscription & Ongoing Support Services: Services billed on a recurring basis (such as Monthly SEO Support or Premium Website Maintenance) have a minimum term of six (6) months, unless stated otherwise in writing.
  • Billing Cycle: Recurring services are invoiced monthly in advance. Payments are due within fourteen (14) days from the date of the invoice unless specified otherwise.
  • Late Payments: We reserve the right to suspend or halt all ongoing work, maintenance, and support services if an invoice remains unpaid past its due date, without liability for any resulting website downtime or loss of search engine visibility.

4. Term and Termination

  • For ongoing subscription services (SEO, Support, Maintenance), after the initial six-month minimum term, the agreement will automatically renew on a month-to-month basis.
  • Either party may terminate the monthly subscription after the initial term by providing 30 days' written notice prior to the next billing cycle.
  • We reserve the right to terminate our Services immediately if the Client breaches these Terms, engages in illegal activities, or fails to make payments.

5. Intellectual Property (IP) Rights

  • Our Intellectual Property: We retain all intellectual property rights in our pre-existing methodologies, underlying code, templates, and digital assets used to create your deliverables.
  • Client Deliverables: Upon full and final payment of all outstanding invoices, we transfer and assign to the Client the exclusive usage rights and ownership of the final custom design, front-end code, and copy created specifically for the Client's website.
  • Portfolio Rights: Unless explicitly agreed otherwise in writing, you grant us a non-exclusive, worldwide license to display screenshots, case studies, and descriptions of the completed website or marketing performance in our professional portfolio, marketing materials, and social media channels.

6. Warranties and Disclaimers

  • General Disclaimer: Our Services are provided on an "as is" and "as available" basis. We make no express or implied warranties regarding the uninterrupted availability or absolute security of a website, though we follow strict professional security standards in our maintenance packages.
  • SEO & Ranking Disclaimer: You acknowledge that Search Engine Optimization (SEO and AI-SEO) is not an exact science. Search algorithms change continuously. While we apply professional expertise and strategies, we do not guarantee specific rankings, traffic increases, or specific financial results on Google or any other search platform.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Beacon Coast Design Ltd., its directors, employees, or partners, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, loss of data, loss of business revenue, web traffic drops, or website downtime arising out of or in connection with the use of our Services or a website we maintain.

Our total aggregate liability for any claims arising out of these Terms or the Services provided shall be strictly limited to the total amount actually paid by the Client to us for the specific service or project giving rise to the claim during the three (3) months immediately preceding the event.

8. Indemnification

You agree to defend, indemnify, and hold harmless Beacon Coast Design Ltd. and its directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) resulting from or arising out of:

  • The content, materials, or data you provide to us for inclusion on your website.
  • Your violation of any third-party right, including copyright, trademark, privacy, or property rights.
  • Your breach of these Terms or applicable provincial and federal laws.

9. Privacy Policy

Your use of our website and our processing of any business contact data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding data collection and compliance with Canadian privacy regulations.

10. Governing Law and Jurisdiction

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the courts located in the Province of Nova Scotia.

11. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice on our website prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access our website or use our Services after those revisions become effective, you agree to be bound by the revised terms.
